Terms of Service

Last updated:

These terms apply to the use of the ClerkMind app (app.clerkmind.com) by law firms and lawyers ("the firm"). The firm's administrator accepts them on the firm's behalf at first sign-in. The Data Processing Agreement is part of them.

1. The service

ClerkMind is software for running a law firm: matters, clients, hearings, deadlines, tasks, documents, time, expenses and invoices. We keep improving it. If we remove a significant feature, we tell you in advance.

2. Who may use it

  • ClerkMind is for lawyers and law firms, for professional work. It is not intended for consumers.
  • The firm's administrator adds and removes members and sets their roles. The firm is responsible for who has access and what is done in its account.
  • Each user has their own account. Sign-in details must not be shared. We recommend two-factor sign-in for everyone, administrators above all.
  • If you suspect unauthorised access, tell us at once at [email protected].

3. Your data

The data the firm enters into ClerkMind belongs to the firm. We process it only to provide the service, under the Data Processing Agreement. We do not sell it, use it for advertising or use it to train AI models.

The data is stored in Germany (EU). More in Security and data location.

The administrator can export all of the firm's data at any time as a ZIP archive (Settings → Data and legal).

4. ClerkMind is not legal advice

Deadline calculations, non-working days, court data, document templates, amounts in words and the other aids are support tools. Responsibility for deadlines, filings and legal decisions stays with the lawyer, who should check them. ClerkMind is not liable for a missed deadline or a legal error arising from unchecked data in the app.

5. Acceptable use

  • Content whose possession or processing is unlawful must not be entered.
  • The security of the service must not be circumvented, tested or disrupted, nor the service overloaded without our written consent.
  • Other firms' data must not be accessed, the service must not be resold, and the software must not be copied.
  • Automated tools must not be used for mass downloading, other than the export the app provides.

6. Payment

The price, trial period and payment terms are those in the offer or order you accepted. We give at least 30 days' notice of a price change. If an invoice remains unpaid after our written reminder, we may suspend access until it is paid. The data is kept meanwhile.

7. Availability and support

We work to keep the service available at all times, but do not guarantee uninterrupted operation. Planned maintenance happens when use is lowest and is announced when possible. The current status is at status.clerkmind.com.

Support is at [email protected]. Describe the problem without clients' personal data: email is no place for confidential information. If we need to see a specific record to help, we will ask your permission.

8. Suspension

We may suspend access for an unpaid invoice, a serious breach of these terms or an immediate security threat. We tell you, unless security requires fast action. The data is kept during a suspension.

9. Term, cancellation and deletion

  • The agreement runs for an indefinite period. The firm may cancel at any time by email to [email protected]; the offer applies to any period already paid.
  • We may end the agreement with 30 days' notice, or immediately for a serious breach of these terms.
  • Before cancelling, the administrator can export all of the firm's data. After cancellation access ends and the data is kept for 90 more days; within that time, at your request, we restore access temporarily for an export.
  • After 90 days all of the firm's data, in the database and in the document storage, is permanently and automatically deleted. Copies in backups and earlier versions of documents in the storage are gone within a further 30 days.

10. Liability

ClerkMind is not liable for indirect loss, lost profit, lost clients, or loss caused by data the firm entered or deleted. ClerkMind's total liability on any ground is limited to the amount the firm paid for the service in the 12 months before the event.

These limits do not apply to loss caused intentionally or by gross negligence, nor where the law does not allow a limit.

11. Confidentiality

We treat everything we learn about the firm's work as confidential. The people working on ClerkMind are bound to confidentiality, respecting lawyer–client privilege. The app has no function through which our staff could view a firm's content.

12. Changes to the terms

We announce changes to these terms by email or in the app at least 30 days before they take effect. The administrator accepts material changes again in the app. If you do not agree, you may cancel before the changes take effect.

13. Law and disputes

These terms are governed by the law of the Republic of North Macedonia. Disputes are decided by the competent court in Skopje. The Macedonian version is binding; the English is a translation.
